IMPORTANT: YOU SHOULD CAREFULLY READ THE FOLLOWING TERMS AND CONDITION OF USE (“AGREEMENT”) BEFORE REGISTERING FOR USE OF the eDoc Organizer Cloud Solution (THE “SERVICE”) PROVIDED BY eDoc LLC.

BY ACCEPTING THE TERMS OF SERVICE AND/OR ACCESSING ANY PART OF THE SERVICE YOU ARE AGREEING TO ALL THE TERMS AND CONDITIONS OF USE OF THIS SERVICE AGREEMENT. IF YOU DO NOT AGREE TO ALL THE TERMS AND CONDITIONS OF USE OF THIS SERVICE AGREEMENT, OR YOU CANNOT COMPLY WITH THESE TERMS AND CONDITIONS OF USE, THEN YOU SHOULD NOT USE THE SERVICE, AND YOU SHOULD NOT ACCEPT THE SERVICE AGREEMENT AND YOU WILL HAVE NO AUTHORITY TO USE THE SERVICE.

IF YOU ARE DEEMED TO HAVE REGISTERED FOR THE SERVICE, YOU ARE AGREEING TO ALL THE TERMS AND CONDITIONS OF USE OF THIS SERVCE AGREEMENT, TO THE EXCLUSION OF ALL OTHER TERMS.

TERMS AND CONDITIONS OF USE

1. THE SERVICE

Subject to the acceptance of your subscription by eDoc Organizer, and your compliance with the terms and conditions of this Agreement will provide you with access to and use of The Service consisting of (1) data encryption, (2) data transmission, (3) data access (as available), (4) data storage, and, (5) interface software. The Service will enable you to access data files from your account, up to a maximum amount of data which you have purchased.

Use of the Service requires compatible devices, Internet access, and may require certain software (fees may apply); may require periodic updates; and may be affected by the performance of these factors. High-speed Internet access is strongly recommended for use. The latest version of required software is recommended to access the Service and may be required for certain transactions or features. You agree that meeting these requirements, which may change from time to time, is your responsibility.

eDoc Organizer Cloud Service is built on top of Microsoft Windows Azure Cloud Platform. eDoc Organizer Cloud Service saves data to servers operated by Microsoft.

2. CONDITIONS OF USE

You are solely responsible for the content of all data you store or retrieve from, or attempt to store or retrieve from Your Account, and the Service in general, and for all transmission by you from and to our Account. You agree not to transmit through the Service (1) any illegal pictures, materials or information; (2) any harassing, libelous, abusive, threatening, harmful, vulgar, obscene or otherwise objectionable material of any kind or nature; (3) any material that encourages conduct that could constitute a criminal offense, give rise to civil liability or otherwise violate any applicable local, state, national, or international law or regulation; (4) any code or material that violates the intellectual property rights of others; or (5) any Viruses, "Trojan horses", worms, or any other similar contaminating or destructive features. You will only use the Service for lawful purposes, in compliance with all applicable laws including without limitations, copyright, trademark, obscenity and defamation laws. Unlawful activities may include, without limitation, attempting to compromise the security of any networked account or site, making direct threats of physical harm, or transmitting, distributing or storing any unlawful material. You agree to hold harmless, defend and indemnify both eDoc Organizer and eDoc LLC from and against any and all damage, costs, loss, claim, action, or other liability that arises from Your violation of any of the restrictions set forth in this Agreement and/or otherwise the unlawful or improper use of the Service.

In order to use the Service, you must create an account including a login name and password to authenticate your Account.

It is your responsibility to check the email address registered to your account for product information regularly.

eDoc LLC reserves the right to change the Service or the terms and conditions of this Agreement at any time without notice.

3. LICENSE TO USE PROPRIETARY SOFWARE

You acknowledge that the Service may include information, communications, code, software, photos, text, video, graphics, sounds, images, logos and other material and services provided to you as a part of and/or in connection with the Service, including any and all intellectual property rights that exist therein, whether registered or not, and wherever in the world they may exist, (the “Content”), that are owned, provided and maintained by eDoc LLC or its affiliates. You agree and acknowledge that notwithstanding eDoc Organizer’s right to permit and authorize access to and use of the Content, the Content is protected by copyrights, trademarks and proprietary rights. You may not copy, reproduce, distribute, duplicate, sell, resell, trade or create derivative works from, the Content, unless expressly authorized by eDoc LLC.

Subject to the terms and conditions of this Service agreement, and only in conjunction with this Service agreement, You as an individual or company are granted a limited, non-exclusive license (the "License") to use eDoc LLC’s proprietary software, in object code form only. As an express condition of this License, you will NOT MODIFY, ADAPT, TRANSLATE, RENT, LEASE, LOAN, RESELL FOR PROFIT, DISTRIBUTE, OR OTHERWISE ASSIGN OR TRANSFER THE SOFTWARE, OR MODIFY, TRANSFER, OR CREATE DERIVATIVE WORKS BASED UPON THE SOFTWARE, REVERSE ENGINEER, DECOMPILE, DISASSEMBLE, OR OTHERWISE ATTEMPT TO DISCOVER THE SOURCE CODE OR UNDERLYING IDEAS OR ALGORITHMS OF THE SOFTWARE, USE THE SOFTWARE FOR SERVICE BUREAU PURPOSES, TIMESHARING, OR FOR THE BENEFIT OF A THIRD PARTY, OR REMOVE ANY PROPRIETARY LABELS OR NOTICES ON THE SOFTWARE. You acknowledge that eDoc LLC is the Licensor of the software, and that the Licensor retains ownership of all software, any portions or copies thereof, and all rights therein. Upon termination of this Service Agreement for any reason, this License will terminate and you will destroy and cease to use the software. The software is provided "As Is"; and is subject to the warranty and disclaimers and limitations of liability found in this service agreement.

4. PRIVACY POLICY

It is the policy of eDoc LLC to respect the privacy of its customers. Neither eDoc LLC nor eDoc Organizer will sell, rent or disclose any personally identifiable customer information attributable to/arising from your use of the Service. eDoc Organizer may collect some basic information about you and your computer such as Internet address and the site from which you visited eDoc Organizer sites.

eDoc Organizer DOES NOT COLLECT OR ACCESS YOUR PERSONAL FILES OR DATA YOU CHOOSE TO STORE IN YOUR eDoc Organizer CLOUD SERVICE ACCOUNT.

5. LEGAL COMPLIANCE

It is the policy of eDoc LLC to respect the privacy of their respective customers. Notwithstanding anything else stated in this Agreement, eDoc LLC reserves the right to disclose your information if required to do so by law or in the good faith belief that such action is reasonably necessary to (1) comply with legal process, (2) respond to any claims against it, or (3) protect the rights, property or personal safety of eDoc LLC, their respective customers/users or the public. This may include disclosing subscriber names and other registration and identification information. eDoc LLC will fully cooperate with law enforcement authorities as may be necessary in investigating suspected lawbreakers, and reserves the right to report to such authorities any suspect activity it becomes aware of.

You are solely responsible for (a) obtaining sufficient rights to the content of all data and files stored by you on eDoc Organizer cloud service servers and (b) ensuring that such content does not include any of the items listed in paragraph 2 above. eDoc Organizer does not review, inspect, edit or monitor any content, data or files stored by you or any other user of the Service, including, without limitation, for viruses, worms, "Trojan horses" or any other similar contaminating or destructive features. eDoc Organizer reserve the right to refuse, remove or disable access to any data or files stored on eDoc Organizer cloud service servers that eDoc LLC learns may be illegal, may violate the terms of paragraph 2 above, may violate the rights of any third party or otherwise may be reasonably objectionable.

You acknowledge that the Software, and any accompanying documentation and/or technical information, is subject to applicable export control laws and regulations of the USA. You agree not to export or re-export the Software, directly or indirectly, to any countries that are subject to USA export restrictions.

To use the Service, you cannot be a person barred from receiving the Service under the laws of the United States or other applicable jurisdictions, including the country in which you reside or from where you use the Service. By accepting this Agreement, you represent that you understand and agree to the foregoing.

The Service, or any feature or part thereof, may not be available in all languages or in all countries and eDoc LLC makes no representation that the Service, or any feature or part thereof, is appropriate or available for use in any particular location. To the extent you choose to access and use the Service, you do so at your own initiative and are responsible for compliance with any applicable laws, including, but not limited to, any applicable local laws.

This Agreement shall be governed and construed in accordance with the laws of the United States and the State of Idaho, and you consent to the exclusive jurisdiction of the state courts and U.S. federal courts located there for any dispute arising out of this Service Agreement. Both parties agree that this Agreement is the complete and exclusive understanding of the parties and supersedes and cancels all prior understandings, communications or agreements whether written or oral, on the subject matter hereof. This Agreement may not be assigned, downloaded or sublicensed by you, except with eDoc Organizer’s express prior written consent.

eDoc LLC will comply with their respective obligation to report evidence of child pornography offenses to the appropriate law enforcement authorities pursuant to the Protection of Children from Sexual Predators Act. Any such materials will be forwarded to the appropriate law enforcement authorities upon discovery and public access will be disabled.

By using the Services you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you are agreeing to these Terms for that organization and promising that you have the authority to bind that organization to these terms. In that case, “you” and “your” will refer to that organization.

IMPORTANT NOTE: This software and service may be used to reproduce and store materials. It is licensed to you only for reproduction and storage of non-copyrighted materials, materials in which you own the copyright, or materials you are authorized or legally permitted to reproduce. This software and service may also be used for remote access to materials for usage between computers. Remote access of copyrighted material is only provided for lawful personal use or as otherwise legally permitted. If you are uncertain about your right to copy or permit access to any material you should contact your legal advisor.

Rights not expressly granted to you are reserved to us.

6. SUPPORT

You, the end user of the Service, are entitled to user support services, as long as you are current in the payment of all required fees, and in full compliance with this Agreement. As a condition to receiving support services, you agree to exercise your reasonable best efforts to cooperate with and assist us in documenting and understanding any problems and in performing appropriate tests. We are not responsible for problems relating to your computer hardware, scanner, or software not provided by us. You should appreciate that we cannot guarantee that that support services will cause the Service to be error-free or to operate continuously, efficiently, optimally, or without interruption, for you, particularly on your computer and your chosen networks. (If our support services don’t solve your concerns then you, or we, may terminate your License to the Service.)

Subject to the terms hereof, eDoc Organizer will provide you with support services for the Service and associated software via e-mail. Under no circumstances will eDoc Organizer have any obligation to provide you with hard-copy documentation, upgrades, enhancements, modifications, or phone support. No support services will be rendered for cancelled or past due accounts.

Remote Access Technical Support

To facilitate installation, training, sign-up, maintenance, troubleshooting activities, or support, you may grant us temporary access to your computers and equipment, including servers, by giving your permission electronically to engage in remote connectivity with your computer and equipment. We may decline to accept such access or to provide remote support. You are responsible for maintaining a complete backup of all of your software and electronic data, and taking appropriate security measures, prior to granting remote access to us. You warrant to us that you have done so by granting remote support. Unless you specifically notified us otherwise in writing, we may reasonably assume your personnel are duly authorized to grant us remote connectivity access as described in this paragraph. You further agree to hold us harmless from any injury, liability, loss, or damages incurred during such activities.

7. PROTECTION OF FILES

You are solely responsible for protecting the information on your computer such as by installing anti-virus software, updating your applications, password protecting your files, and not permitting third party access to your computer. You understand that the eDoc Organizer Products and Services may back-up files that are no longer usable due to corruption from viruses, software malfunctions or other causes. This might result in you restoring files that are no longer usable.

Don’t reveal your Account information to anyone else. You are solely responsible for maintaining the confidentiality and security of your Account and for all activities that occur on or through your account, and you agree to immediately notify eDoc Organizer of any security breach of your Account. You further acknowledge and agree that the Service is designed and intended for each user to have their own separate login information and you should not share your Account and/or password details with another individual. Provided we have exercised reasonable skill and due care, eDoc LLC shall not be responsible for any losses arising out of the unauthorized use of your Account resulting from you not following these rules.

eDoc LLC DOES NOT REPRESENT OR GUARANTEE THAT THE SERVICE WILL BE FREE FROM LOSS, CORRUPTION, ATTACK, VIRUSES, INTERFERENCE, HACKING, OR OTHER SECURITY INTRUSION, AND eDoc LLC DISCLAIMS ANY LIABILITY RELATING THERETO.

YOU EXPRESSLY UNDERSTAND AND AGREE THAT eDoc LLC AND ITS AFFILIATES, SUBSIDIARIES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS SHALL NOT BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, OR OTHER INTANGIBLE LOSSES (EVEN IF eDoc LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (I) THE USE OR INABILITY TO USE THE SERVICE (II) ANY CHANGES MADE TO THE SERVICE OR ANY TEMPORARY OR PERMANENT CESSATION OF THE SERVICE OR ANY PART THEREOF; (III) THE UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (IV) THE DELETION OF, CORRUPTION OF, OR FAILURE TO STORE AND/OR SEND OR RECEIVE YOUR TRANSMISSIONS OR DATA ON OR THROUGH THE SERVICE; (V) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICE; AND (VI) ANY OTHER MATTER RELATING TO THE SERVICE.

Access through Third Party Apps. If you choose to access the Service through a third-party application, you should appreciate that such action has security risks that may or may not be disclosed in their privacy policies. For example, third-party applications and interfaces, or insecure networks, may not encrypt Your Data when you transmit, retrieve or access it, and they might collect information from you, and might use that information in ways objectionable to you. You should be sure you are comfortable with the privacy and security measures of any third-party application, interface or network you use to access the Service.

8. DELETION OF CLOUD DATA

If your license to use eDoc Organizer Products and Services expires, is terminated, is not renewed for any reason, or is otherwise discontinued for any reason, eDoc LLC will delete and/or deny you access to any of your Data that may remain in their possession or control.

You agree that if you terminate or allow your trial or license to terminate, non-renew, or otherwise lapse for any reason, that your files may not be available to you should you wish to restore them.

You agree that eDoc LLC may retain (but shall have no obligation to retain) your Data for a period after your trial or license has been terminated, expired, or otherwise lapsed, as part of eDoc Organizer’s marketing to you the opportunity to renew, or extend a license for a short period of time.

9. PAYMENT OF FEES

By accepting these terms, and/or accessing any part of the Service, you agree to provide eDoc Organizer with accurate and complete billing information, including your legal name, address and telephone number, and to update this information within 30 days of any change to it. Payment by fraudulent means will result in immediate and permanent termination of the account, and possible criminal penalties. Upon signing up for an account, you will pay eDoc Organizer the then applicable fees (the"Fees"). The Fees will automatically be charged monthly according to your subscription option, in advance.

The Service accepts credit cards and certain payment accounts (where available) for payment, and will automatically charge the payment method associated with your account. Account fees are billed monthly, in advance of provision of the service. Billing occurs at the time of or shortly after your transaction. You agree that you will pay for the services you purchase through the Service, and that eDoc Organizer may charge your credit card or payment account for any services purchased and for any additional amounts (including any taxes and late fees, as applicable) that may be accrued by or in connection with your Account, and that eDoc Organizer may continue to charge your credit card or payment account for all fees or charges associated with your subscription on an monthly basis until you change or cancel the subscription. This means that unless you change or cancel your subscription prior to the next monthly billing date, we will charge your credit card or payment account the then-current fees on that next monthly billing date.

Your account will be considered delinquent if your credit card company refuses for any reason to pay the amount billed to it and that amount remains unpaid at the beginning of the accounting cycle. The additional services may be suspended, archived or purged from the system if your account is delinquent for more than 48 hours. eDoc LLC may impose a charge to restore archived data from delinquent accounts.  eDoc Organizer will email the account on file to make you aware of the past due amount and of refusal of payment by your credit card. However, you are solely responsible for ensuring that your account is in good standing at all times. Any delay in response may result in cancellation of your account.

If you believe you have been billed incorrectly for the Service, you must contact eDoc LLC no later than 15 days after the first billing statement in which the error or problem appeared, in order to receive an adjustment or credit. Inquiries should be directed to support@edocllc.com

eDoc Organizer may at any time change the price of the storage upgrades or any part thereof, or institute new charges or fees. Price changes and institution of new charges implemented during your subscription billing term will apply to subsequent subscription billing terms and to all new subscribers after the effective date of the change. If you do not agree to any such price changes, then you must cancel and stop using the service.

10. TERM AND TERMINATION

Upon the expiration of the initial term of this Agreement, unless otherwise terminated, this Agreement is renewable according to subscription.

eDoc LLC may terminate this Service Agreement immediately, without prior notice or liability, if you breach any of the terms or conditions of this Service Agreement.

All sections of this Agreement which by their nature should survive termination will survive termination, including, without limitation, accrued rights to payment, warranty disclaimers, and limitations of liability, except as otherwise expressly provided herein. Termination is not an exclusive remedy and all other remedies will be available whether or not the license is terminated.

You may terminate your Account and/or stop using the Service at any time. Any fees paid by you prior to your termination are nonrefundable, including any fees paid in advance for the billing term during which you terminate. Termination of your Account shall not relieve you of any obligation to pay any accrued fees or charges. After you cancel your account, access to Your Service will no longer be possible, any files stored through the Service will be deleted.

It is your responsibility to ensure that the email address for your account is accurate and to check your email address registered with eDoc Organizer Could Service for any notices. You agree that eDoc LLC shall not be liable to you or any third party for any modification or cessation of the Service.

11. TRIAL

Free Trial Period. We offer a FREE 15 day trial of the Service. At the end of the trial period your License to the Service terminates and your access to Your Data will be disabled. If you do not establish an account with us and pay for a License to the Service before the end of the trial (on the terms of this Agreement), then you will have no further access to Your Data, and Your Data will be destroyed or erased.

All above terms and conditions within this contract are applicable during the trial period.
